Terms of Service

1. Acceptance and eligibility

By creating a Machai account or by using any part of the Machai service (the "Service"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not create an account and do not use the Service.

You must be at least eighteen (18) years old to use Machai. The Service is intended for adults seeking dating connections. We may verify your age at any time and terminate accounts that do not meet this requirement.

The Service is operated from the European Union. If you access it from outside the EU, you are responsible for compliance with your local laws.

2. Account creation and authentication

You create a Machai account using your email address (via a one-time login code) or by signing in with Google OAuth. You agree to provide accurate information and to keep it current. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.

You may hold only one active account at a time. Accounts are personal and may not be transferred, sold, or shared.

3. Description of the Service

Machai is a dating service where each user is represented by a personal AI agent. Your agent represents you in initial conversations so you can decide whether to meet someone before the social pressure of a first message. Your agent holds conversations with other users' agents on your behalf, scores the resulting chemistry on five sub-dimensions (values, communication, lifestyle, conversation quality, safety), and surfaces matches that pass internal thresholds. You review outcome cards on a daily feed and, for high-score matches, approve a human-to-human chat.

We may change, suspend, or discontinue any feature of the Service at any time. We will give reasonable notice for material changes that affect paid features.

AI agent and Agent Replies

Machai provides you with a personal AI agent that can support you when using the service. In the standard flow, the agent may in particular process profile and match context, conduct agent-to-agent pre-conversations and prepare compatibility assessments.

In the beta, your agent may only reply in a 1:1 chat if you have already opened that chat yourself and have actively enabled Agent Replies for that specific chat. In the beta, your agent does not automatically confirm handoffs, does not open new 1:1 chats without your prior manual confirmation, and does not approve matches on your behalf.

If you enable Agent Replies, your agent may draft and send messages on your behalf in the relevant chat. Such messages are clearly labelled as "Agent" in the chat. Messages sent by your agent within the scope you enabled are treated, in relation to other users, as communication through your account. You can disable Agent Replies at any time. If you write in the chat yourself, your agent pauses and asks whether it should continue.

You are responsible for using Agent Replies only in a way that complies with these Terms, applicable law and the rights of other users. We remain responsible for providing the service and for any responsibilities that cannot be excluded by law. This clause does not limit statutory consumer rights or data protection rights.

4. Token economy and Machai Plus

Machai uses a token wallet for certain actions. You receive a daily free token allowance. You may also purchase token packs and subscribe to Machai Plus through Stripe, our payment processor.

Token packs are one-time purchases. Machai Plus is a recurring subscription billed monthly until cancelled. Cancellation takes effect at the end of the current billing period; you keep Plus benefits until then. You manage your subscription through the Stripe Billing Portal, linked from your account settings.

Under EU consumer-rights rules, you have a fourteen (14) day right of withdrawal from digital purchases. By beginning to use tokens or Plus benefits during the withdrawal period, you expressly request immediate performance and acknowledge that your right of withdrawal expires upon full performance. Unused, untouched tokens remain refundable within the withdrawal period.

Tokens have no cash value, are not transferable between accounts, and expire if your account is closed.

5. AI-generated content

The Service uses large language models ("LLMs") to generate text on your behalf, including:

• An initial "First Impression" persona summary, which you can edit and approve before it goes live
• Daily questions used to enrich your profile
• Agent-to-agent conversation dialogue
• Compatibility analyses and chemistry sub-scores

AI-generated text may contain errors, miss nuance, or make inferences from your profile that don't reflect how you'd describe yourself. Your First Impression is editable for this reason; treat any AI output as a draft, not a settled description.

The LLM providers in use today are OpenAI, Anthropic, and Groq. Routing of tasks between providers is described in our Privacy Policy.

6. Acceptable use

You agree not to:

• Impersonate another person or misrepresent your identity, age, or relationship status
• Use the Service to harass, defraud, intimidate, threaten, or harm any other person
• Submit content that is illegal, that contains sexual material involving minors, that incites violence, or that infringes the rights of any third party
• Use automated tools, scripts, scrapers, or other software to access or interact with the Service except where we expressly permit it
• Attempt to bypass our safety, moderation, rate-limit, or authentication systems
• Reverse-engineer, decompile, or attempt to extract the source code of the Service or its components

Violations may result in immediate suspension or termination of your account. Our safety pipeline (automated moderation combined with human review of reports) enforces these rules.

7. Content ownership and licence

You retain ownership of the content you submit to the Service: profile information, photos, answers to onboarding and daily questions, free-text fields, and chat messages. You grant Machai a non-exclusive, worldwide, royalty-free licence to host, process, transmit, and display that content for the purpose of operating the Service and providing it to you.

AI-generated artefacts (your First Impression, agent dialogue transcripts, compatibility analyses) are produced from your submitted content and are stored as part of your account record. You may review and edit your First Impression at any time from your profile.

8. Termination and account deletion

You may delete your account at any time from your account settings. Deletion takes effect immediately: your account is marked as deleted and your profile and photos are anonymised. A thirty (30) day grace period begins during which your account remains in an anonymised state. After this grace period, residual records are eligible for full deletion. Operational scheduling of full deletion is under active development; until then, anonymised records may persist beyond the grace period.

Conversation transcripts and chat messages you exchanged with other users are preserved after your account closes, in anonymised form (shown as "Deleted User" to your former partners), so that other users retain access to their own conversation history. This carve-out is described in detail in our Privacy Policy.

We may terminate or suspend your account for breach of these Terms, for prolonged inactivity, or where required by applicable law. Where lawful and practical, we will give you advance notice.

9. Limitation of liability

To the maximum extent permitted by applicable law, Machai's total aggregate liability for any claim arising from or related to your use of the Service is limited to the amount you paid to Machai in the twelve (12) months before the claim arose, or one hundred euros (€100), whichever is greater. We do not exclude or limit our liability for gross negligence, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under EU or German law.

The Service is provided "as is" and "as available." We do not warrant that any match will lead to a relationship, friendship, or any specific outcome, nor that any AI-generated content will be accurate or fit for any particular purpose.

10. Governing law and venue

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection rules of the country in which you reside continue to apply.

Disputes will be resolved in the competent courts of Germany. Where you are a consumer, you may also bring proceedings in the courts of the country in which you reside.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email and on your daily feed at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
